Estonia for business: what e-Residency is and what an OÜ is
When people say “open a company in Estonia”, they usually mix up two different things. An OÜ (osaühing) is the Estonian private limited company itself, the legal entity that holds the account, the contracts and the website. e-Residency is a digital identity issued by the state: a card and keys with which you sign documents electronically and file applications with the registry without travelling to the country. It is not citizenship, not a residence permit and not a right to live in Estonia. The card does not create a company by itself, and a person can own a company without a card.
Estonia is chosen by entrepreneurs who work online: developers, consultants, sellers of digital services. The reason is simple: state services for registration and reporting are mostly digital, and the owner does not have to live in the country. There is a flip side, though. You have to buy an Estonian legal address and a contact person from a licensed provider, and banks and payment systems check what the company does and who stands behind it. Below we go through the path step by step and then count the first-year costs.
If you are still comparing countries, start with how to open a company in Europe: country, cost, what to prepare, where Estonia sits next to Germany, Poland and Cyprus. We build the website for opening a company and an account, while registration is handled by a partner law firm; we do not give legal opinions, so check every figure below with a lawyer or accountant. Data as of October 2026.
Estonia e-Residency: what it is, what the card costs and what it does not give
You apply for e-Residency online and then collect the card at your chosen pickup point. The state fee for the application is €150. According to the programme’s blog, a single rate of €165 is planned from 1 January 2027 for both application and renewal. For 2027 planning, allow €165 and check the amount when you apply.
What the card gives you
- An electronic signature legally equal to a handwritten one, and sign-in to Estonian digital services.
- The ability to apply for OÜ registration with the registry remotely.
- Signing contracts with banks, providers and clients from anywhere in the world.
What the card does not give you
- It does not exempt you from taxes in the country where you live, for example in your country. That is the main question for a tax adviser.
- It does not guarantee an account: the bank checks the company and the owner on its own and may refuse.
- It does not give you the right to live, work as an employee or travel freely around the European Union.
If you are separately searching for “estonia e-residency bank account”: there is no link, the card does not open an account automatically. The account is opened by a bank or payment system under its own rules, and the company website is usually part of the document package.
How to open a company in Estonia: OÜ step by step
For an owner who is not in Estonia, the order looks like this. We do not name timelines: they depend on you, the provider, the registry and the bank.
- Decide why you need a company. The type of activity, client countries and payment methods determine the bank, the taxes and the texts on the website.
- Get e-Residency. Apply, pay the fee, collect the card. You need the card to sign documents in the registry.
- Choose an address and contact-person provider. According to the official e-Residency help page, the legal address and contact person in Estonia must come from a licensed provider. The official price benchmark is on average €200–400 a year; the e-Residency marketplace also has cheaper packages, usually excluding VAT.
- Prepare the company details. Name, activity under the Estonian classifier, the list of shareholders and board members, the size of the capital.
- Apply to the Business Register. Online, signed with e-Residency. The state fee for registering an OÜ is €265.
- Receive the registry code. The bank, payment systems, the tax office and the website (company details) all need it.
- Set up accounting. An Estonian company must keep books and file reports even if there is no turnover yet.
What capital you need
According to the e-Residency help centre, since 1 February 2023 the minimum OÜ capital is €0.01 per shareholder. There is an important caveat: if the contribution is below €2,500, shareholders are liable for the company’s debts up to the amount missing to €2,500. So the formal minimum does not mean you can take no risk at all. In practice banks also expect more meaningful capital. How exactly to make the contribution is a question for the provider’s lawyer.
If you do not yet have clarity on who builds the website and services, read how to choose a web development company: it has a checklist of questions.
Documents and data to prepare before you apply
A package gathered in advance saves more time than any “fast” registration. What you usually need to prepare:
- Passport and proof of residential address for each shareholder and board member. Banks check ultimate owners, so the data must be identical everywhere.
- Company name. It must be free in the registry and carry the form marker (OÜ). Check that no other company has the name and that it does not clash with someone else’s brand.
- Activity. It is worded under the classifier and also in plain words for the bank: what you do, for whom and how you get paid.
- Board and shareholders. A board member may live outside Estonia (then a contact person is needed), but taxes and bank questions depend on it, so discuss the composition with an adviser in advance.
- Size and method of paying in capital. More on the €2,500 caveat in the section above.
- Company domain and email. An address on a free mailbox can raise extra questions from the reviewer. It is better to register the domain in your own name and use it in the applications.
For comparison, here is how it looks in neighbouring countries: Poland needs a different set of steps and signatures, described in how to open a company in Poland (sp. z o.o.), and Cyprus requires a director, a secretary and a local address. Choose the country for the task, not for a provider’s advertising.
A bank or EMI for an Estonian company: what to consider in advance
Registering the company is only half of it: you must also receive and withdraw customers’ money. There are three usual options: an account at a regular bank, an e-money account (an EMI, such as Wise or Revolut Business) and a payment system for accepting cards (such as Stripe). Each has its own rules and the conditions change, so we do not name “the easiest bank”.
What all the checks (KYC and KYB, that is “know your customer” and “know your business”) have in common:
- company documents and details of the ultimate owners;
- a plain-language description of the activity: what you sell, to whom, in which countries;
- an explanation of the company’s link to Estonia if the owner and clients are elsewhere;
- a link to a website where all this is visible and the details match the application;
- expected turnover and sources of funds.
What you can do before applying: prepare the document package, make sure the name, address and activity are written identically in the registry, on the website and in the application, and think in advance about which questions on clients you will have to answer. Refusal is possible even for a genuine company, so it makes sense to apply to several institutions rather than build the plan on one. For more on what a bank and Stripe look at on a site, see Stripe website requirements: what banks and Wise check on your site.
Taxes of an Estonian company in brief
Taxes are an accountant’s subject, and here we only show the general picture from public overviews. Estonia’s peculiarity: corporate income tax is paid not on profit earned but at the moment it is distributed. Undistributed and reinvested profit, according to the overviews, is not subject to income tax. On dividend payments the rate is 22/78 of the amount paid, that is €22 of tax for every €78 of dividends. The planned increase to 24% was cancelled in December 2025, according to recent overviews.
On VAT the sources differ: recent overviews give a standard rate of 24% from 1 July 2025, while older publications still say 22%. The threshold for mandatory VAT registration in Estonia, according to the same overviews, is €40,000 of turnover in the country, but separate rules apply to services provided to customers in other EU countries. Do not rely on these figures without checking with an accountant.
The main question for a foreign owner is where you yourself are tax resident and where the company is actually managed. That determines who you pay which taxes to, and having an Estonian company does not cancel your obligations in your country. Information as of October 2026; check it with an Estonian accountant and with an adviser where you live.
A website for the bank and payment system: what you need while registration is under way
You usually need a website sooner than you think: banks, EMIs and payment systems ask for a link to it in the application. The minimum for an Estonian company:
- a description of the activity, the country of registration and the company name;
- contacts: email on the company domain, not just a form;
- company details (registry code) as soon as you have it;
- Privacy Policy, Terms and, if you sell to customers in the EU, payment and refund terms and a cookie banner;
- details matching the registry and the application.
So that you do not have to wait for registration, we build the website in 24 hours for €599: one page with a description, contacts, company details and legal pages, and email on your domain. The clock starts when we have the brief, the materials and access to the domain. A website does not guarantee account approval: the bank makes that decision. If you need both registration through a partner law firm and a website, look at the Opening a company in Europe package: registration from €1,100, and the website in the package is €499 instead of €599. You pay for the domain separately, and the website and accounts are registered to you.
How much the first year costs: table and calculator
The table below gathers the official state amounts and a benchmark for the address and contact-person service. It is not an estimate: accounting, legal support and a bank account are not included, and provider prices vary. The “first year” row shows only what can be confirmed by sources. Tick the box to add the website in 24 hours.
How we counted: OÜ fee €265, e-Residency card €150 (planned to be €165 in 2027), and the address and contact person at €300, the middle of the official €200–400 range. The real figure is given by the provider once you choose a package.
Estonia: first-year costs
| Country | Form | Fees and capital | First year | Timeline | Comment |
|---|---|---|---|---|---|

| Estonia | OÜ, owner already has a card | OÜ fee €265; address and contact person €300 | €565 | Online; timelines depend on the registry and the provider | For those who got the card earlier. Accounting and bank are separate |
What to choose in your situation
- You work online, live outside Estonia and want to start fast. The “e-Residency + OÜ” route fits, but first ask an accountant where you pay taxes and ask the bank whether it will accept you.
- Your clients are in Germany, Poland or another country and expect a local form. Compare countries: a Polish or German form may be clearer to clients. For Poland see how to open a company in Poland, for Cyprus how to open a company in Cyprus.
- You already have a company but no website. Order the website in 24 hours and apply to the bank once it carries your company details.
- You need not only to pass the checks but to launch a product. Tell us about it through the contact page. For website rates see how much a website costs.
- You doubt the taxes or the form. That is a question for a lawyer and an accountant; we do not give legal opinions.
Fees and taxes change, so check them on the date you decide. Discuss the tax consequences in your country with an adviser.
